What are governors responsible for?
As a governor your key responsibilities would
include:
- ensuring we are accountable to local
people
- recruiting and developing our
membership, and
- helping us plan for the future.
The role of governor is
not:
- similar to the role of a school
governors
- to be responsible for operational management
ie they do not run our Service or are not held to account if things
go wrong
- to inspect our services, as this task is
carried out by other bodies and organisations
- there to raise complaints on behalf of
individuals, or
- to represent the interests of single pressure
groups, but are required to represent a broad range of interests in
their constituency.

What are the legal responsibilities of a
governor?
The Council of Governors has certain legal
responsibilities:
- To appoint and, if appropriate, remove the
Chair.
- To appoint and, if appropriate, remove other
non-executive directors (NEDs).
- To decide the pay and allowances, and other
terms and conditions, of the Chair and other NEDs.
- To approve the appointment of the Chief
Executive.
- To appoint and, if appropriate, remove the
auditor.
- Receive the annual accounts, any auditor’s
reports on the accounts, and the annual report.

Other duties of a governor
If you become a governor other duties may
include:
- holding constituency meetings to communicate
with members and understand their views
- developing and reviewing the membership
strategy, ensuring that the membership increases and is
representative of other communities
- identifying ways to inform members about
us
- working with partner organisations to jointly
communicate with patients and the public
- attending and participating in meetings of
the Council of
Governors, and
- promoting constructive relationships and
discussions between public members and our staff.
